1. Agreement to Terms

By accessing or using our website www.novusgrid.io, requesting a marketing audit, or engaging NovusGrid ("we", "our", "us") for services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Provided

NovusGrid is a digital marketing, social media, and creative growth agency. Our services include:

  • Social Media Management & Content Strategy
  • Reels & Video Production (Scripting, filming, editing)
  • Performance Marketing & Meta Ads Management
  • Website Design, Custom Development, & UI/UX Optimization
  • Brand Identity, Logo Design, & AI-powered Solutions

The specific scope, timelines, deliverables, and fees for any project or ongoing management will be governed by a separate Service Agreement or Statement of Work (SOW) executed between NovusGrid and the client.

3. Intellectual Property Rights

Unless otherwise specified in a signed contract:

  • Agency Intellectual Property: All original tools, templates, processes, and software libraries used or developed by NovusGrid in the performance of services remain our exclusive property.
  • Client Work Product: Upon full and final payment of all agreed-upon project fees, ownership of visual assets, copy, video edits, and website code created specifically for the client will be transferred to the client.
  • Client Materials: The client retains all rights to any logos, images, copy, brand guidelines, and assets supplied to NovusGrid for project execution. The client warrants that they own or have licensed all materials provided.

4. Payment Terms

For clients engaging in service agreements:

  • Payments must be made in accordance with the schedule specified in the Statement of Work.
  • Monthly retainer services require payment in advance of each billing cycle.
  • Delinquent accounts may result in temporary suspension of active marketing campaigns, website maintenance, or asset deliveries until outstanding dues are resolved.

5. Client Obligations and Feedback

To ensure high-quality and timely execution:

  • The client agrees to provide necessary access (such as Meta Business Manager, website hosting, or analytics) required for project setup.
  • The client must provide feedback and approvals in a timely manner. Delays in reviews or asset provisions may push back campaign launches or project completion dates.

6. Term and Termination

Unless stated otherwise in an SOW:

  • Ongoing retainer contracts require a 30-day written notice of cancellation by either party.
  • Either party may terminate a project immediately in the event of a material breach of terms by the other party that remains unresolved for 15 days following written notification.

7. Limitation of Liability

To the maximum extent permitted by law, NovusGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), resulting from:

  • Your use of or inability to access our website.
  • The performance of active ad campaigns or fluctuations in organic search/social media algorithms.
  • Any unauthorized access to our secure servers or data repositories.

8. Governing Law

These Terms of Service and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law principles. Any legal actions must be brought in the courts located in Ahmedabad, Gujarat, India.
